Agreement to these terms

These Terms of Service form an agreement between you and Zellos AI governing access to and use of Zellos Studio, including our websites, applications, AI-assisted creative tools, and related services. By accessing or using Zellos Studio, you agree to these terms. If you use Zellos Studio for an organization, you represent that you have authority to bind that organization.

If you do not agree to these terms, do not use the service.

Eligibility and accounts

• You must be at least 18 years old, or the age of legal majority where you live, and able to enter into a binding agreement.
• You must provide accurate account information and keep it current.
• You are responsible for safeguarding account credentials and for activity carried out through your account.
• Tell us promptly if you believe your account or workspace has been accessed without authorization.

Using Zellos Studio

Subject to these terms and any applicable plan limits, Zellos AI (“Zellos”, “we”, “us”) grants you a limited, non-exclusive, non-transferable, revocable right to access and use Zellos Studio for your internal business and commercial content creation needs.

Features may evolve over time. We may add, change, suspend, or discontinue functionality, and we may set reasonable usage limits to protect service quality, safety, and availability.

Your content and generated outputs

You retain your rights in the briefs, brand assets, media, instructions, and other content you submit to Zellos Studio (“Your Content”). You give Zellos AI a limited, worldwide, non-exclusive licence to host, process, reproduce, and modify Your Content only as needed to provide, secure, and improve the service, to enforce these terms, and to comply with law.

As between you and Zellos AI, and to the extent permitted by applicable law, you may use outputs generated for you, including for commercial purposes. You are responsible for reviewing those outputs and ensuring that your use complies with law, platform rules, advertising requirements, and any third-party rights.

Because AI systems can produce similar material for different users, outputs may not be unique. Zellos AI does not promise that an output is eligible for copyright, trademark, or other intellectual property protection.

Other people’s work, faces and pictures

You may only submit, and only ask Zellos Studio to use, material that you own or that you have a valid, documented right to use for that purpose. Finding something online does not mean you may use it.

• Do not upload or reference photographs, artwork, designs, videos, music, voices, fonts, characters, logos, or trademarks created or owned by someone else unless you hold a licence or written permission that covers your use, including AI processing and commercial publication.
• Do not upload pictures of another person, including friends, colleagues, customers, influencers, or celebrities, unless that person has given clear, informed consent to your specific use.
• Do not use Zellos Studio to copy, closely imitate, or “restyle” another creator’s work or a competitor’s brand assets in a way that infringes their rights or misleads people.
• You are solely responsible for the rights, licences, and consents attached to Your Content. On request, you agree to give us reasonable evidence of them.

Likeness, consent and synthetic media

Zellos Studio can create and edit realistic images and video. That power comes with a strict rule: nobody’s face, body, voice, or identity may be used or altered without their permission.

• You must not morph, swap, blend, “de-age”, age, undress, or otherwise alter photos or videos of another person, or generate a realistic depiction, voice, or impersonation of a real person, without that person’s prior, explicit, and revocable consent.
• You must not create deepfakes or other synthetic media that present a real person as saying or doing something they did not say or do, whether or not it is intended as a joke or parody.
• You must not create sexual, intimate, nude, or sexually suggestive imagery of any real person, and you must never create any sexualised imagery of minors. Content involving minors is prohibited and will be reported to the appropriate authorities.
• You must not use another person’s likeness to endorse a product, spread political or election misinformation, harass or humiliate someone, commit fraud, or damage their reputation.
• Public figures and celebrities are not an exception. You need documented written authorisation from them or their authorised representatives before using their likeness.
• Where the law or a platform requires it, you must clearly label AI-generated or materially altered content when you publish it. You must never remove or disguise disclosures, watermarks, or provenance information that we or another party attach.
• Anyone depicted in Your Content may withdraw consent at any time. If they do, you must stop using the content and remove it promptly, and we may remove it for you.

Acceptable use and illegal activity

You may not use Zellos Studio, or help anyone else use it, in a way that is unlawful, deceptive, harmful, or disruptive to the service or to other people.

• Break any applicable law or regulation, or use outputs to plan, promote, or carry out illegal activity, including fraud, scams, phishing, identity theft, extortion, blackmail, stalking, harassment, or the sale of illegal goods and services.
• Create or distribute content that infringes intellectual property, privacy, publicity, data-protection, or other rights, including by breaching the rules on third-party work and likeness above.
• Impersonate a person or organisation, misrepresent AI-generated media as authentic where disclosure is required, or facilitate fraud or manipulation.
• Generate abusive, exploitative, hateful, discriminatory, violent, sexually explicit, or dangerous content in violation of law or our safety controls.
• Attempt to bypass, disable, or test our safeguards, filters, or moderation, including by disguising prompts, splitting a request across steps, or using coded language to obtain prohibited output.
• Upload malicious code, probe or bypass security measures, scrape the service, or interfere with its operation.
• Reverse engineer, resell, or provide unauthorised access to Zellos Studio except where applicable law expressly permits it or we agree in writing.
• Use outputs or service data to build or train a competing model or service without written permission.

Monitoring, enforcement and reporting

We may review prompts, uploads, and outputs, using automated tools and human reviewers, to detect and prevent violations of these terms. We are not obliged to monitor the service and do not accept responsibility for content that goes undetected.

If we believe you have broken these rules, we may, at our discretion and without prior notice where the risk is serious: block or remove content, restrict features, suspend or terminate your account, cancel unused credits without refund, and preserve and disclose relevant information to affected individuals, rights holders, platforms, regulators, or law enforcement. Serious or repeated violations, and any involvement of minors, will be reported.

If you believe your image, likeness, voice, or work has been used without permission, or you see other content that breaks these terms, report it through the support channel available in Zellos Studio. Include enough detail to identify the content and your connection to it. We will review reports promptly, remove content where appropriate, and may end the accounts of repeat infringers. You may be asked to confirm your identity or ownership.

Your responsibility and indemnity

You are solely responsible for Your Content, the prompts and instructions you give, how you use outputs, and the consequences of publishing them. Zellos AI does not verify the rights or consents you claim and is not responsible for how you use the service.

You agree to defend, indemnify, and hold harmless Zellos AI, its affiliates, and their personnel from claims, damages, liabilities, penalties, and expenses (including reasonable legal fees) arising from Your Content, your use of outputs, your breach of these terms, or your violation of law or of another person’s rights, including any claim by a person whose image, likeness, or work you used without permission.

Subscriptions and payment

Paid plans renew automatically for the billing period shown at purchase unless cancelled before renewal. The Trial is a one-time payment that does not renew; its credits and access end after the trial period. You authorize us and our payment provider to charge the applicable fees and taxes. Except where law requires otherwise, fees already paid are non-refundable and unused credits do not carry cash value.

We may change plan pricing or limits with advance notice. Changes normally apply at the next renewal. If a payment is overdue, we may limit or suspend access to paid features after providing reasonable notice.

Third-party services

Zellos Studio may connect with third-party platforms, AI providers, media libraries, payment processors, or social networks. Their services are governed by their own terms and policies. Zellos AI is not responsible for third-party services or for changes those providers make to their products, APIs, or availability.

Our platform and intellectual property

Zellos AI and its licensors own Zellos Studio, including its software, interface, workflow design, branding, documentation, and underlying technology. These terms do not transfer ownership of the platform to you. Feedback you choose to provide may be used without restriction or obligation to you.

Suspension and termination

You may stop using Zellos Studio or cancel your account at any time. We may suspend or terminate access if you breach these terms (including the rules on consent, likeness, third-party work, and illegal activity), create risk or legal exposure, fail to pay amounts due, or use the service in a way that could harm users, third parties, or Zellos Studio. Where practical and lawful, we will provide notice and an opportunity to resolve the issue, but we may act immediately for serious violations. Termination for a breach does not entitle you to a refund.

After termination, your right to use the service ends. Provisions that by their nature should survive—including ownership, payment obligations, disclaimers, and limitations of liability—will remain in effect.

Disclaimers

Zellos Studio is provided on an “as is” and “as available” basis to the fullest extent permitted by law. AI-generated content may be inaccurate, incomplete, unsuitable, or similar to existing material. Zellos Studio does not provide legal, advertising, intellectual property, or regulatory advice, and you should apply appropriate human review before publishing or relying on an output.

To the fullest extent permitted by law, Zellos AI disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Limitation of liability

To the fullest extent permitted by law, Zellos AI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from or related to Zellos Studio.

Our total liability for claims relating to the service will not exceed the amount you paid to Zellos AI for the service during the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

Changes and contact

We may update these terms as the service evolves. We will revise the date above and provide reasonable notice of material changes. Continuing to use Zellos Studio after revised terms take effect means you accept them.
